I. ActiveBatch Academy Training Subscriptions | Terms and Conditions

Scope. This document outlines the policies of ActiveBatch Academy Training Subscriptions (herein referred to as or by “Training Subscription,” “Subscription,” or “Subscription Services”) offered by Advanced Systems Concepts, Inc. (herein referred to as “ASCI”).

Eligibility. In order to begin a Training Subscription, a company must be a customer of ASCI in good standing with ActiveBatch licenses and an Active ActiveBatch Support Agreement (herein referred to as or by “Support”). Should a customer’s Support become inactive due to expiration, nonpayment, or other reason per the terms of the ASCI Support Agreement, the Training Subscription will be frozen. The customer (herein referred to as “Subscriber”) will not be entitled to any refund; however, if Support is reactivated within two (2) years of expiration or inactivation, the Training Subscription that had previously been paid in full will resume without time penalty such that the Subscriber will receive a cumulative total of the entire Subscription term’s access period to ActiveBatch Academy (herein referred to as “Academy” or “Academy Website”) per the Term of the Training Subscription package purchased.

Subscriber and its Authorized End Users. Academy Subscription Plans are offered for a defined Term and on a per-User basis. All Academy Users are required to be My ASCI Team Leads, Support Users, or General Users. The My ASCI Team Lead has the authority to assign Training Subscription Users within the My ASCI User Management portal, according to the number of Users allotted in the Subscriber’s Training Subscription Plan. Training Subscription Users are to be assigned on an individual basis, and once a Training Subscription User is assigned, that assignment cannot be undone or transferred by the Team Lead. A Training Subscription User is required to be used by a single person and associated to a single person’s My ASCI User Account with a business email address within the Subscriber’s email domain. Subscriber agrees not to use generic or shared email accounts for Training Subscription Users. Furthermore, Subscriber agrees, on behalf of itself and its Authorized End Users, that a single Training Subscription User Licensed Seat will not, under any circumstances, be used or accessed by any other person than the person to which it was assigned. Failure to comply with any of these policies may result, at ASCI’s sole discretion, in suspension or termination of the Training Subscription without refund. Additionally, access to enrolled courses, course materials, course history, statistics, and other information will be revoked upon a Subscription Term ending without renewal.

License Seat Transfer. Subscribers in good standing may request one (1) Training User substitution per Term of the Subscription Agreement. A Subscriber may request to use its substitution by sending an email to ASCI Training at [email protected]. Additionally, a Training User substitution may be requested if an assignment was made in error, provided the assigned User did not already begin any courses. Such substitution requests may also be made by emailing ASCI Training at [email protected].

Reassignment. At the beginning of a new Term of a Training Subscription, the Subscriber has the opportunity to reassign any or all of its Training User Seats.

Warranties, Rights, Representations, Restrictions, and Obligations. Subject to these Terms and Conditions, the Subscriber will be granted a limited, non-exclusive, revocable, non-transferable right to access Academy courses per the terms of the Training Subscription package purchased. ASCI does not obligate itself to maintain the Academy Website in its present form and retains the right to upgrade, modify, change, or enhance the Academy offerings. The Subscriber agrees to abide by any rules or regulations that ASCI publishes with respect to the conduct of Subscribers. ASCI reserves the right to deny a Subscriber access to the Academy Website if, at ASCI’s sole discretion, the Subscriber has failed to abide by these Terms and Conditions or appears unlikely to do so. The Subscriber accepts that ASCI, in its sole discretion, may, but has no obligation to, monitor and/or oversee compliance with Terms and Conditions.

Access. Subscriber promises, acknowledges, and agrees, on behalf of itself and its Authorized End Users, that:

  • Access privileges may not be transferred to any third-parties
  • It will comply with all applicable regulations with respect to use of the Academy Website
  • It will not rent, lease, sell, distribute, transfer, or copy any of the materials provided as part of the Subscription
  • It is solely responsible for acquiring, installing, operating, and maintaining the hardware and software environment, network connections, and telecommunication links necessary to access and use the Academy Website
  • It will not use the Academy Website in any manner that violates any copyright, trademark, or other intellectual property right of ASCI
  • It will obtain any and all consents required by law, including, but not limited to, consent to transfer personally identifiable information of authorized Users and any other consents required in order for ASCI to provide Subscription Services


Availability of Academy Website. Subscriber recognizes that the traffic of data through the Internet may cause delays during the streaming or downloading of data from the Academy Website and accordingly, it shall not hold ASCI liable for delays that are ordinary in the course of Internet use. Subscriber further acknowledges, understands, and accepts that the Academy Website will not be available on a continual 24-hour basis due to such delays, or delays caused by ASCI’s upgrading, modifying, or maintaining the Academy Website.

Intellectual Property Rights. The Academy is owned by ASCI, and its material is protected by United States and international copyrights, trademark, intellectual property, and other proprietary rights laws. No right, title, or interest in or to the Academy’s content, name, related names, logo, related logos, designs, slogans, etc. is transferred to any Subscriber or its Authorized End Users, and all rights not expressly granted herein are reserved by ASCI.

ASCI Obligations. ASCI will use reasonable efforts to enable the Subscription Service to be accessible, except for scheduled maintenance and required repairs, and except for any interruption due to causes beyond the reasonable control of, or not reasonably foreseeable by, ASCI including, but not limited to any Force Majeure Event. ASCI’s obligation shall not extend or apply to any Subscriber’s nonconformance caused by use of the Academy Website contrary to ASCI instructions, Terms and Conditions, or published policies. In the event of inaccessibility, ASCI will, at its expense, use all reasonable endeavors to make the Academy Website accessible promptly, or provide the Subscriber with an alternative means of accomplishing the desired performance.

Fees and Payment. The Subscriber agrees to pay the appropriate fee corresponding to the particular Subscription Services that it wishes to access for the applicable Subscription Term. ASCI reserves the right to change the Subscription Fee with respect to a Renewal Term with prior written notification. Unless otherwise expressly stated, all fees are non-cancellable, non-refundable, and non-transferrable. Charges are billed in advance of service. If the Subscriber does not remit payment per their outlined purchase terms, the Subscriber agrees that ASCI may, at its sole discretion, suspend or terminate the Subscriber’s access to the Academy Website and require the Subscriber to pay the overdue amount by means acceptable to ASCI. In such cases, ASCI may, at its sole discretion, charge a fee for reinstatement.

Disclaimers and Warranties. ASCI agrees, on an ongoing basis, to make every effort that all information included on the Academy Website is complete, reliable, high-quality, accurate, error-free, and available; however, the Subscriber’s use of the Academy Website or items obtained through the Academy Website are at its own risk. The Academy Website content is provided on an “as is” and “as available” basis, without any statements or warranties of any kind, either express or implied. In no event, shall ASCI, its employees, licensors, officers, or directors be liable to Subscriber for any punitive, incidental, indirect, or consequential damages of any kind, or any damages whatsoever including, without limitation, those resulting from loss of use, loss of data, or loss of profits.

Changes. Except for any provisions determining the primary contractual obligations of the Subscriber and of ASCI, ASCI has the right to revise and amend these Terms and Conditions from time to time to reflect changes in business needs including, but not limited to, changes in features and functionality, changes in market conditions, changes in payment methods, changes in relevant laws and regulatory requirements, and changes in system capabilities.

Privacy Policy. Subscriber, on behalf of itself and its Authorized End users, agrees to and agrees to comply with the current ASCI Privacy Policy.

II. Cancellation Policies for Individual Courses

Instructor-Led Training Courses:

Customer Rescheduling Requests: Customers may request to reschedule an online Instructor-Led Training course in which they are enrolled up to thirty (30) calendar days prior to the course’s start date. Customers who are granted a course rescheduling may elect to attend a future Instructor-Led Training course (of equal or lesser cost) within one (1) year of the request. Requests made less than thirty (30) calendar days prior to the start of an Instructor-Led Training course cannot be honored.

ASCI Cancellation: ASCI makes every attempt to conduct its training courses based on its published schedule; however, ASCI reserves the right to cancel a course when it does not meet the minimum number of attendees. When ASCI must cancel an Instructor-Led Training Course, we make every effort to do so at least two (2) weeks from the course start date. Upon a course cancellation by ASCI, attendees may elect to register for the same course offered on a future scheduled date (if available), attend an equivalent OnDemand Course, or request a refund. A request for a refund must be made within thirty (30) calendar days of the date the course was originally scheduled. When a refund is requested and approved, the same payment method will be used as that of the original training payment.

Training OnDemand Courses:

Attendees may request a Training OnDemand course substitution for an alternate Training OnDemand course (of equal or lesser cost) within thirty (30) calendar days of purchase, provided the attendee has not activated the course. Requests made more than thirty (30) calendar days after purchase or after an OnDemand course has been activated or has expired cannot be honored.
